Terms of Service

Effective 24 September 2026.

These Terms of Service (these “Terms”) constitute an agreement between you and FoxFire Solutions LLC, a Delaware limited liability company having its registered office at 3 Germay Dr Unit 4 1430, Wilmington, DE 19804 (“Ledger”, “we”, “us” or “our”), governing your access to and use of the Ledger application and the website at ledgerblackbook.com (together, the “Service”). By creating an account or otherwise using the Service you accept these Terms. If you do not accept them, do not use the Service.

Section 15 requires disputes to be resolved by individual arbitration and waives your right to participate in a class action. Section 13 limits our liability. Please read them.

1. Eligibility

You must be at least eighteen (18) years of age to use the Service. The Service is intended for individuals seeking to maintain a private record relating to their own dating. We do not verify sex or gender and do not deny access on the basis of either.

2. The Service

2.1 The Service provides a private record of your own dating activity, notification that another user has recorded a telephone number you have also recorded, and published population health data concerning geographic areas.

2.2 The Service is not a directory of individuals, is not a review platform, and does not rate any individual for the benefit of any other person.

2.3 From the contact you record and the flags you select, the Service presents to you a summary of your own records concerning a single individual, including a figure presented together with the number of entries from which it was derived. That summary is a description of your own records. It is not transmitted to the individual concerned, is not disclosed to any other user, and is not stored on our servers.

3. Accounts

3.1 One account is permitted per verified telephone number.

3.2 You are responsible for maintaining control of the telephone number associated with your account. Any person able to receive the verification codes sent to that number is able to sign in to your account and read its contents, including your encrypted content.

3.3 Requesting a verification code creates your account. Codes are rate limited per telephone number and per network, and a challenge-response test is applied to each request.

4. Flags

4.1 Flags are selected from a fixed list of phrases. Each phrase is framed as a description of the selecting user’s own experience.

4.2 By selecting a flag you represent and warrant that it describes your own experience truthfully.

4.3 You may not select a flag you know or believe to be false. Doing so is a material breach of these Terms, constitutes grounds for termination, and may expose you to liability to the individual concerned.

5. Content concerning other individuals

5.1 You may not create free text concerning another individual that is readable by any other user. Notes are encrypted and are not visible to any other user. Thread messages are encrypted before transmission and are visible only to the participating users.

5.2 You will not use threads to disclose an individual’s name, photograph, employer, address or other identifying particulars.

5.3 We act upon reports and metadata. Our moderation tools do not decrypt encrypted content. A reporting user may voluntarily attach a decrypted excerpt to a report.

6. Confidentiality of the Service

6.1 Nothing you record is visible to any person who has not independently recorded the same telephone number.

6.2 You will not capture, export or republish anything another user discloses to you within a signal (the notice that another user has recorded the same telephone number) or a thread.

7. Individuals whose numbers are recorded

7.1 Any individual may verify a telephone number by SMS and ascertain whether any flags are recorded against it. We disclose only the existence of one or more flags.

7.2 An individual may dispute a flag. We will conceal a disputed flag of a disputable category pending review, will notify the user who selected it, and will record our determination.

7.3 We will neither disclose the existence of, nor remove upon dispute, a record that a user felt unsafe. The Service does not publish any such record, and it is disclosed only to a user who has independently recorded the same telephone number and who has affirmatively elected to receive it.

7.4 Repeated unfounded disputes are subject to rate limiting.

8. Prohibited conduct

You will not:

  • record a telephone number belonging to an individual with whom you have no relationship, for the purpose of ascertaining whether it appears in another user’s records;
  • use the Service to monitor an individual with whom you are not in contact;
  • maintain more than one account;
  • access the Service by automated means;
  • harass, threaten or disclose identifying information concerning any person, within or outside the Service; or
  • represent any area health data as pertaining to any individual.

We may suspend or terminate an account for any of the foregoing. Patterns of conduct consisting of repeated addition, verification and deletion within twenty-four hours are subject to automatic suspension.

9. Responsibility for content

9.1 The Service provides a fixed list of phrases describing a user’s own experience. A user selects which, if any, apply to her own experience. We composed those phrases. We do not select them for any user, have no knowledge of whether any is true of any individual, and do not verify, endorse or adopt any selection.

9.2 To the extent applicable law treats the provider of a structured selection as contributing to what a user selects, we rely upon the truth of the user’s own account under Section 4 and upon the limits in Section 6 and Section 7.1.

9.3 We may remove or restrict content at our discretion. Doing so does not constitute adoption or authorship of any content.

10. Reports

You may report any flag, thread or account from within the Service. We conceal reported content upon receipt of a report and review it as promptly as we are able. We maintain a record of each report and determination.

11. Termination

11.1 You may delete your account at any time. Deletion removes your records, codes, contact events, notes, flags and threads, and dissolves any signals.

11.2 We may terminate your account for breach of these Terms. Termination effects deletion on the same basis.

12. Disclaimers

12.1 The Service is provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.

12.2 Health data presented within the Service is published population data, stated with its source and date. It does not constitute medical advice and makes no representation concerning any individual.

12.3 Pattern observations describe your own records. They are not representations of fact concerning any individual.

13. Limitation of liability

13.1 To the fullest extent permitted by law, neither we nor our officers, employees or suppliers are liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data or loss of goodwill, arising out of or relating to these Terms or the Service, whether the claim sounds in contract, tort or otherwise, and whether or not we were advised of the possibility of such damages.

13.2 Our aggregate liability for all claims relating to the Service arising within any period of twelve months will not exceed the greater of the amount you paid us within that period and one hundred United States dollars (US$100).

13.3 Nothing in this Section limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, for fraud, or under the Washington Consumer Protection Act, RCW 19.86. Where a jurisdiction does not permit the exclusion of certain warranties or the limitation of liability for incidental or consequential damages, the foregoing applies only to the extent that jurisdiction permits.

14. Indemnity

14.1 You will defend, indemnify and hold harmless us and our officers, employees and suppliers against any claim, demand, loss, liability or expense, including reasonable attorneys’ fees, brought by a third party and arising from content you authored in breach of Section 4 or Section 5, from use of the Service in breach of Section 8, or from your breach of applicable law in connection with the Service.

14.2 We will notify you promptly of any such claim, afford you control of its defense with counsel to which we do not reasonably object, and cooperate at your expense. You will not settle any claim in a manner imposing an obligation or admission upon us without our prior written consent.

14.3 We will not seek indemnity in respect of a claim arising from a flag you selected in good faith.

15. Dispute resolution and arbitration

15.1 Informal resolution. Before commencing any proceeding, you will notify us at legal@ledgerblackbook.com, describing the dispute and the relief sought. We will have sixty (60) days from receipt within which to respond.

15.2 Arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved under Section 15.1 will be determined by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in King County, Washington, or conducted by telephone or videoconference at your election. The arbitrator determines all questions other than the enforceability of Section 15.4, which a court determines.

15.3 Exceptions. Either party may bring an individual claim in small claims court. Either party may apply to a court for injunctive relief in respect of unauthorized use of the Service or infringement of intellectual property.

15.4 Class waiver. Claims will be brought individually. Neither party may bring a class, collective, consolidated or representative action, and the arbitrator may not consolidate claims or preside over any representative proceeding. Where this Section is held unenforceable as to a particular claim, that claim will proceed in court and arbitration will not apply to it, and this Section 15 will continue to govern all other claims.

15.5 Coordinated proceedings. Where twenty-five (25) or more claims are filed against us by or with the assistance of the same counsel within any period of ninety (90) days, the claims will be administered in batches of no more than fifty (50), each before a single arbitrator, with the parties selecting an equal number of bellwether claims from each batch. Limitation periods are tolled for claims awaiting batching.

15.6 Opt out. You may reject this Section 15 by notifying legal@ledgerblackbook.com within thirty (30) days of your first acceptance of any version of these Terms, identifying the telephone number associated with your account. A subsequent amendment to these Terms does not create a new period and does not revoke an opt out previously made. Opting out has no other effect upon your account.

16. Governing law and venue

These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws rules. Where Section 15 does not apply, the state and federal courts located in King County, Washington have exclusive jurisdiction, and each party consents to that venue. Nothing in this Section deprives you of the protection of mandatory consumer law of the jurisdiction in which you reside.

17. Amendment

We will notify you within the Service prior to any amendment taking effect. Where an amendment materially affects Section 13, Section 14, Section 15 or our data practices, we will obtain your affirmative acceptance. Otherwise, continued use after the effective date constitutes acceptance.

18. General

18.1 Severability. Where any provision is held unenforceable, the remainder continues in effect.

18.2 No waiver. No failure to enforce any provision constitutes a waiver of it.

18.3 Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition or sale of assets.

18.4 Entire agreement. These Terms, together with the Privacy Policy and the Consumer Health Data Privacy Notice, constitute the entire agreement between the parties as to the Service.
